These Terms of Service ("Terms") govern your use of POSHready, a SaaS-based POSH (Prevention of Sexual Harassment) compliance portal ("Service") provided by Avallark Services LLP, a limited liability partnership incorporated under the laws of India ("Company," "we," "us," or "our"). By accessing or using our Service at poshready.org, you ("User," "you," or "your") agree to be bound by these Terms.

To access our Service, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

We reserve the right to modify, suspend, or discontinue the Service at any time with reasonable notice. We shall not be liable for any interruption or discontinuation of the Service.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AVALLARK SERVICES LLP BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

You agree to indemnify, defend, and hold harmless Avallark Services LLP and its officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Service or violation of these Terms.

7. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act, 2015. The arbitration shall be conducted in Mumbai, India, and shall be conducted in English. The award rendered shall be final and binding upon the parties.

8. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including breach of these Terms. Upon termination, your right to use the Service will cease immediately, and any data associated with your account may be deleted.

Shipping & Delivery Policy

POSHready is a fully digital Software-as-a-Service (SaaS) platform designed to facilitate POSH compliance. As a completely online service, we do not ship any physical products or goods.

Service Delivery

All services, training modules, compliance tools, and resources are delivered electronically through our web-based portal at poshready.org. Upon successful payment confirmation and account creation, you will receive immediate access to your subscribed services and features.

Access Provision

Access credentials and login instructions are provided via email immediately following payment processing. In the rare event of any technical delays, access will be granted within 24 hours of payment confirmation. All communications regarding service access will be sent to the email address provided during registration.

Digital Content Delivery

Training materials, certificates, compliance reports, and all other service components are accessible exclusively through your online account dashboard. These digital assets can be downloaded, printed, or shared as permitted under your subscription plan.

Refund & Cancellation Policy

Training Services

Refunds are not available for training services that have been commenced or completed. Once a user has accessed training content, initiated a course, or completed any portion of the training modules, the service is considered delivered and no refund will be provided.

Unused Services

Refunds may be processed for unused and unactivated services within seven (7) days of purchase, provided that:

Annual Subscriptions

Annual subscription fees are non-refundable under all circumstances. By purchasing an annual subscription, you acknowledge that no refunds will be provided regardless of usage or cancellation timing.

Promotional Purchases

No refunds are available for services purchased using discount codes, promotional offers, or coupon codes. All promotional purchases are final and non-refundable.

Cancellation Policy

You may cancel your subscription at any time through your account dashboard or by contacting [email protected]. Cancellation will stop future billing cycles but does not entitle you to a refund for the current billing period. You will retain access to the Service until the end of your current billing cycle.

Refund Processing

Approved refunds will be processed within five to seven (5-7) business days and will be credited to the original payment method. Refund processing times may vary depending on your financial institution. To request a refund, please contact [email protected] with your order details and reason for the refund request.

Exceptional Circumstances

Refunds outside of this policy may be considered on a case-by-case basis at the sole discretion of Avallark Services LLP for exceptional circumstances such as technical failures preventing service access.

Customer Reference & Logo Usage

By signing up for and using POSHready, you grant Avallark Services LLP a non-exclusive, royalty-free, worldwide licence to use your company name, logo, and trademark for the limited purpose of identifying you as a customer of POSHready. This includes, but is not limited to:

This licence does not grant Avallark Services LLP any rights to your proprietary content, data, or any information processed through the Service. If you wish to opt out of being identified as a customer, you may submit a written request to [email protected], and we will remove your company name and logo from our marketing materials within 30 business days of receiving such request.
